2023年全球科技大会条款

尊敬的先生/女士

Business News (Asia) LLP (“NBCU”) is organising East Tech West 2023, an annual invite-only technology retreat that is scheduled to take place from 17–19 October 2023 (the “Event”) at the LN Garden Hotel at No. 1, Dajiao Er Road, Nansha District, Guangzhou City, Guangdong Province, China (“Event Venue”). In consideration of NBCU permitting you to attend the Event, you accept and agree to comply with the following terms and conditions:
Business News (Asia) LLP（“NBCU”）即将举办2023年全球科技大会。这一年度科技盛会仅向受邀嘉宾开放，并拟于2023年10月17 – 19日在中国广东省广州市南沙区大角二路1号岭南花园酒店（“活动场地”）举行（“活动”）。作为NBCU允许您参与活动的前提，您接受并同意遵守下列条款与条件：

1. You acknowledge and agree that NBCU, its affiliates, agents, contractors and/or representatives may film or photograph your attendance at the Event (the “Marketing Content”). You hereby grant to NBCU and its affiliates, agents, contractors and representatives a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, transmit, broadcast, display, publish, communicate, exploit and issue publicity regarding the Marketing Content in any and all media (on both NBCU platforms and third-party platforms, and for both editorial and commercial purposes) without liability or acknowledgement to you.
您认可并同意，NBCU及其关联方、代理、合同工和/或代表可能在活动期间拍摄您（“推广内容”）。您特此授予NBCU及其关联方、代理、合同工和代表一项永久、不可撤销、世界范围内有效的免费许可，以使上述方在任何及所有媒体上（包括在NBCU平台及第三方平台上，且包括为评论性质及商业性质之目的）使用、修改、传输、播放、展示、发布、交流、利用并宣传推广内容，且无需向您承担责任或做出通知。

2. You shall be solely liable for and assume all risk of loss of or damage to any property owned by you or otherwise in your possession or control during the Event, which is not caused by our intention or gross negligence.
若您拥有、占有或控制的任何财产在活动期间损失或损坏（非因NBCU的故意或重大过失导致），您应独自承担所有责任及风险。

3. To the maximum extent permitted by law, NBCU expressly excludes all representations, warranties and obligations arising out of or in connection with the Event. Under no circumstances whatsoever shall NBCU be liable to you, whether in contract, tort, breach of statutory duty or otherwise, for any direct, indirect, consequential, special, incidental or punitive loss or damage arising from or in connection with the Event. You hereby irrevocably, fully and unconditionally release NBCU, its employees, officers, affiliates, contractors, suppliers, customers, sponsors and licensees from and against any liability whatsoever (whether direct or indirect and whether arising in contract, tort, breach of statutory duty or any otherwise) arising from or in connection with the Event.
在法律允许的最大范围内，NBCU明确不承担因活动引发或与之相关的所有陈述、保证及义务。NBCU在任何情形下均不对您因活动引发或与之相关的任何直接、间接、特别、附带或惩罚性的损失或损害承担责任，无论是合同、侵权、违反法定义务或其他方面的责任。您特此不可撤销、完整并无条件地免除NBCU及其员工、管理人员、关联方、合同工、供应商、客户、赞助商及被许可方因活动引发或与活动相关的任何责任（无论直接或间接，亦无论基于合同、侵权、违反法定义务或任何其他事由）。

4. You shall comply with all applicable laws, health and safety codes, and directions of NBCU during the Event. This includes but is not limited to all applicable privacy laws, anti-corruption laws, health and safety laws, and NBCU’s Terms of Service (https://www.cnbc.com/nbcuniversal-terms-of-service/). You also confirm that your attendance at the Event complies with your organisation’s internal policies and guidelines.
您应当遵守所有适用的法律、健康及安全准则以及NBCU在活动期间的指示，包括但不限于所有适用的隐私法、反腐败法、健康及安全法以及NBCU网站的服务条款（https://www.cnbc.com/nbcuniversal-terms-of-service/）。您确认参与活动符合您所在单位的内部政策及准则。

5. NBCU may terminate the Event or your participation at the Event by giving notice to you and without incurring any liability to you at NBCU’s sole discretion.
NBCU有权单方决定终止活动或将您请出活动场地，仅需向您通知且无需向您承担任何责任。

6. NBCU received your name, title and contact details (“your data”) from its existing business relationship with you, or a third-party source to whom you granted consent to share your data with NBCU, or collected it from publicly available sources such as your company’s website. NBCU is using it for marketing purposes (that is, to notify you of our events), and for events administration. NBCU has a legitimate business interest in marketing its events. You acknowledge and agree that NBCU may disclose your data to NBCU group companies or third-party service providers that NBCU has engaged to assist with marketing and event activities, both within and outside China. In such cases, NBCU will require those entities to put in place measures to protect your data in accordance with applicable data protection laws. NBCU will hold your data for so long as is necessary to fulfil the above purposes. By signing up for the Event, you consent to NBCU handling your data as described in this section and in accordance with the privacy policy at https://www.nbcuniversal.com/privacy. If you have any questions about the way NBCU handles your data, or if you would like NBCU to remove you from its marketing list, please contact adsaleslegal@nbcuni.com.

7. You acknowledge and agree that these terms shall be governed by, and be construed in accordance with the laws of the People’s Republic of China (for the purposes of these terms, excluding Hong Kong, Macau and Taiwan), and subject to the exclusive jurisdiction of Chinese Courts.
您认可并同意，本《2023年全球科技大会条款》受中华人民共和国（就本条款而言，不包括香港、澳门和台湾）法律管辖并按其解释，并受中国法院的排他性管辖。
